GENERAL TERMS AND CONDITIONS (AGB)
- Scope
These General Terms and Conditions (“GTC”) apply to all contracts between
ITSParer Ludwig-Krause-Straße 3a ,18146 ,Rostock ,Germany (hereinafter “Provider”)
and its customers (hereinafter “Customer”) regarding IT, telecommunications, and digital services.
Conflicting terms of the Customer shall not apply unless expressly agreed in writing.

The Provider offers in particular:
- Hosted VoIP and IP-PBX systems
- Virtual phone numbers (DID)
- VPS, dedicated servers, and VPN services
- AI-based voice agents and translation services
- Automated dialing systems (auto-dialer)
- Software licensing and reselling
- IT consulting and system setup
- Web and mobile application development
- Marketing and advertising services
The exact scope is defined in individual agreements.
- Contract Formation
Contracts are concluded by:
- Acceptance of an offer, or
- Online order confirmation by the Provider
The Provider reserves the right to reject orders.
- Prices and Payment
- Prices are exclusive of VAT unless stated otherwise.
- Billing may be subscription-based or usage-based.
- Payments are due within [X] days.
- The Provider may suspend services in case of non-payment.
- Service Availability
- No guarantee of uninterrupted availability.
- Maintenance and technical issues may cause downtime.
- No SLA unless explicitly agreed.
- Telecommunications Services
- Services may be subject to telecom regulations.
- Emergency calls (e.g. 112, 110) may not be available or may be limited.
- The Customer is responsible for lawful use of numbers.
- Number portability and permanence are not guaranteed.
- Automated Calls & AI Telephony
- The Customer must obtain prior consent before placing automated or marketing calls.
- Use for spam, fraud, or harassment is strictly prohibited.
- The Customer bears full legal responsibility for call campaigns.
- AI Services
- AI outputs may be inaccurate or incomplete.
- No guarantee of correctness or fitness for purpose.
- The Customer is responsible for verifying outputs.
- AI must not be used for impersonation, fraud, or illegal purposes.
- Hosting, VPS & VPN
- The Provider offers infrastructure and optional management.
- Backup is only provided if explicitly agreed.
- The Customer remains responsible for data and content.
- The Provider may take action to prevent abuse.
- Acceptable Use Policy
The Customer shall not:
- Violate laws or third-party rights
- Send unsolicited communications (spam)
- Conduct fraud or phishing
- Use services for illegal traffic or activities
Violations may result in suspension or termination.
- Third-Party Services
- The Provider may act as reseller/intermediary.
- Third-party terms apply additionally.
- No liability for third-party failures.
- Marketing Services
- No guarantee of specific results or ROI.
- The Customer is responsible for legal compliance of campaigns.
- Data Protection
Processing of personal data is governed by the Privacy Policy and applicable data protection laws.
- Liability
- Unlimited liability for intent and gross negligence.
- Limited liability for slight negligence to foreseeable damages.
- No liability for indirect damages or loss of profit.
- Indemnification
The Customer shall indemnify the Provider against claims arising from unlawful use of services.
- Term and Termination
- Contract duration is defined per agreement.
- Automatic renewal unless terminated.
- Immediate termination for cause remains unaffected.
- Changes
The Provider may modify these GTC with reasonable notice.
- Governing Law
German law applies.
Place of jurisdiction: Provider’s registered office (if legally permissible).
